Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Push Agent (“Push Agent”, “we”, “us”), operated by Diginix Technologies. They apply when you create a Push Agent account, use the dashboard at app.pushagent.net, add our script, service worker or plugins to a website, or use our API. By doing any of these you agree to these Terms and to our Privacy Policy. If you use Push Agent for a company, you confirm you may accept these Terms on its behalf.

1.The service

Push Agent lets website owners collect subscribers for browser push notifications and send them messages. The service includes:

  • the Push Agent dashboard at app.pushagent.net, where you add websites, write and schedule notifications, target subscribers and see results;
  • a script and a small service-worker file (pushagent-sw.js) that you add to your website, directly or through our WordPress and Joomla plugins, which show visitors an “Allow notifications” prompt;
  • on eligible plans, a REST API and WooCommerce order-status notifications.

Notifications are delivered using the standard Web Push protocol through the push services run by browser makers (for example Google, Mozilla, Apple and Microsoft).

2.Your account

  • You must be at least 18 years old (or the age of majority where you live) and give us accurate information, including a working email address.
  • New accounts must be activated from the email we send. Accounts that are not activated within 24 hours are deleted automatically.
  • You are responsible for everything done with your account. Keep your password, access tokens and API keys secret and tell us straight away if you think someone else has used them.
  • You may only add websites that you own or are authorised to manage.

3.Plans, limits and trials

Push Agent offers a Free plan and paid plans. The current plans, prices and features are shown on our pricing page, which forms part of these Terms. In summary:

  • Subscriber limit. If your account goes over its subscriber limit, you have 7 days to upgrade or reduce your subscribers. After that, sending is paused until the account is back within its limit or on a larger plan. Existing subscribers are not deleted.
  • Website limit. You cannot add more websites than your plan includes.
  • Features. Features that are not part of your plan are not available until you upgrade.
  • Trials. If we offer a free trial of a paid plan, your account returns to the Free plan when the trial ends unless you buy a plan. Features and limits beyond the Free plan stop working at that point.
  • We may change plan features or limits in the future. If a change reduces what a paid plan includes, it will apply from your next renewal and we will tell you in advance.

4.Payments, renewal and refunds

  • Payment processor. Paid plans are sold through our payment partner 2Checkout (Verifone), which acts as reseller and handles payment, invoicing and sales tax or VAT. Your payment is also subject to 2Checkout’s terms. We never see or store your full card details.
  • Billing periods. Plans are billed monthly or yearly in advance, at the price shown when you buy. Prices exclude taxes unless stated otherwise.
  • Automatic renewal. Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time; your plan stays active until the end of the period you have paid for.
  • Failed or missed payments. If a renewal is not paid, we keep your plan active for 3 more days. After that your account moves to the Free plan and Free plan limits apply.
  • Price changes. We will give you at least 30 days’ notice before a price change applies to your subscription. The new price applies from your next renewal after the notice period.
  • Refunds. If you are not happy with a paid plan, contact us within 14 days of your first payment for that plan and we will refund it in full. Renewals and partial billing periods are not refunded, except where the law requires it.

5.Your responsibilities to subscribers

You decide which websites use Push Agent and what is sent to subscribers. That means:

  • You must follow the laws that apply to you and your visitors, including privacy, data-protection, consumer-protection and electronic-marketing laws (for example the GDPR and ePrivacy rules in Europe).
  • Your website must have a privacy policy that tells visitors you use Push Agent for push notifications and what data is collected when they subscribe.
  • Only people who have allowed notifications in their browser may be sent notifications. You must not try to subscribe people without their permission, or make it hard for them to unsubscribe. Subscribers can unsubscribe at any time through their browser settings.
  • Your notifications must clearly come from your website and must not be misleading.

For subscriber data collected through your websites, you are the party that decides why it is collected (the “controller”) and we process it on your behalf to provide the service, as described in our Privacy Policy.

6.Acceptable use

You must not use Push Agent to send or promote, or try to do any of the following:

  • anything unlawful, fraudulent, defamatory, harassing, hateful or that infringes anyone’s rights;
  • phishing, malware, fake system or security warnings, scams, or links to such content;
  • notifications that pretend to come from someone else, or that mislead people about who sent them or where a link goes;
  • sexually explicit content, or content that exploits or harms minors;
  • access the service by any means other than our dashboard, scripts, plugins and API; overload, probe or disrupt it; or get around plan limits, rate limits or security measures;
  • resell, sublicense or provide the service to others as a stand-alone push service without our written permission;
  • copy, decompile or reverse-engineer the service, except where the law allows it or the code is open source (see section 9).

We may remove content, pause sending or suspend an account that breaks these rules (see section 12).

7.Your content and data

  • You keep all rights to the notifications, images, links and other content you add to Push Agent (“your content”). You give us a limited licence to store, process and send your content only as needed to run the service for you.
  • You confirm you have the rights to your content and that it complies with these Terms.
  • We store subscriber records, notification history and statistics for your account so the service works. Subscriptions that browsers report as expired are deactivated automatically.
  • You can ask us at any time to delete a website or your whole account by emailing us from the address on your account. We will delete the related data, including its subscribers and notification history, as described in our Privacy Policy, apart from records we must keep by law (for example payment records).

8.API keys and WooCommerce order updates

  • API keys are available on plans that include the API. Each key belongs to one website. Treat keys like passwords; revoke a key in the dashboard if it may have been exposed. We store only a fingerprint of each key, so we cannot show it to you again.
  • API use is subject to rate limits, which we may adjust to protect the service.
  • WooCommerce order updates send a notification to a customer when their order reaches a status you switched on, using messages you write. Customers are identified by a one-way code made from their email address and your API key; the email address itself is not sent to us. You are responsible for the content of these messages and for only sending them to customers who allowed notifications.
  • Order updates do not count towards your subscriber limit, but are part of the plans that include them and stop if your plan no longer does.

9.Plugins and software

Our WordPress and Joomla plugins are free software. Their code is licensed under the GNU General Public License (version 2 or later), and that licence, not these Terms, governs your use of the plugin code itself. Using the Push Agent service through a plugin is still subject to these Terms. Plugins are provided “as is”; keep them updated so they keep working with the service.

10.Third-party services

Push Agent relies on services provided by others, including the browser push services that deliver notifications, our hosting and network providers, an IP-location service used to estimate a subscriber’s country and city, Google (if you choose to sign in with Google) and 2Checkout for payments. These providers have their own terms and we are not responsible for their services. Delivery of notifications also depends on the subscriber’s browser, device, operating-system settings and network.

11.Availability and delivery

  • We work to keep Push Agent available and reliable, but we do not promise that it will be uninterrupted or error-free. We may carry out maintenance, which we try to schedule at quiet times.
  • We cannot guarantee that every notification is delivered, delivered at a particular time, or displayed by every browser or device.
  • We may change, improve or remove parts of the service. If we remove a major feature of a paid plan, we will tell you in advance.

12.Suspension and termination

  • By you. You can stop using Push Agent at any time and ask us to delete your account (see section 7). Cancel any paid subscription first so you are not billed again.
  • By us. We may pause sending, suspend or close your account if you seriously or repeatedly break these Terms, if your use puts the service, other customers or subscribers at risk, if payments are reversed or fraudulent, or if the law requires it. Where reasonable we will tell you first and give you a chance to fix the problem.
  • Inactive free accounts. We may close Free accounts that have had no activity for 12 months, after emailing the account owner at least 30 days before.
  • Sections that by their nature should continue (for example sections 7, 13 to 16 and 18) survive termination.

13.Our intellectual property

The Push Agent name, logo, website, dashboard and service (apart from the open-source plugin code and your content) belong to us or our licensors. These Terms do not give you any right to use our name or logo, except to say truthfully that your website uses Push Agent. If you send us ideas or feedback, we may use them without any obligation to you.

14.Disclaimers

To the extent the law allows, Push Agent is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise any particular number of subscribers, opens, clicks, sales or other results. Nothing in these Terms limits rights you have as a consumer that cannot be excluded by law.

15.Limitation of liability

To the extent the law allows: (a) we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data, goodwill or business opportunity; and (b) our total liability for all claims relating to Push Agent is limited to the amount you paid us for the service in the 12 months before the event giving rise to the claim, or USD 50 if you have not paid us anything. These limits do not apply to liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.

16.Indemnity

If someone makes a claim against us because of your content, your websites, the notifications you send, or your breach of these Terms or the law, you agree to cover the reasonable costs, damages and legal fees that result, to the extent the law allows.

17.Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top shows when they last changed. If a change is significant, we will tell you by email or in the dashboard at least 14 days before it takes effect. If you keep using Push Agent after a change takes effect, you accept the updated Terms. If you do not agree, you can stop using the service and ask us to delete your account.

18.Governing law

These Terms are governed by the laws of USA, Illinois . Any dispute will be handled by the courts of USA, Illinois, unless the law of the country where you live as a consumer gives you the right to bring a claim in your local courts. Before going to court, please contact us so we can try to resolve the issue informally.

If any part of these Terms cannot be enforced, the rest remains in effect. If we do not enforce a right straight away, we have not given it up. You may not transfer your account or these Terms to someone else without our consent; we may transfer them as part of a merger, sale or reorganisation of our business. These Terms and our Privacy Policy are the entire agreement between you and us about Push Agent.
